Terms & Conditions

These Terms and Conditions (“Terms”) form a binding agreement between Glowing Minds AI Inc., a Florida profit corporation doing business as GetYourCar (Florida document no. P26000015199; EIN 32-0850469), principal address 677 N Washington Blvd, Sarasota, Florida 34236, USA (“GetYourCar,” “we,” “us”), and the car dealership or dealership representative registering for or using getyourcar.ai (“You,” “Dealer”). By creating an account, submitting an inventory listing, or otherwise using the Platform, You agree to these Terms and to our Privacy Policy, which is incorporated by reference. If You do not agree, do not use the Platform.

You represent that You are authorized to act on behalf of, and to bind, the dealership You register.

getyourcar.ai (the “Platform”) is a self-serve advertising and lead-generation service for car dealerships. In summary:

1. You provide a link to (or feed of) Your vehicle inventory listings.
2. Our system automatically generates advertising creative (images, videos, and carousel ads) from that inventory.
3. Our system automatically launches native lead-form advertising campaigns on Meta (Facebook and Instagram), TikTok, and Google Ads, targeting prospective buyers in Your dealership's area, with the goal of generating the best-matched leads reasonably achievable.
4. When a consumer submits a lead form, we present You with an Offer to reveal that lead's contact details for a stated price (Section 5).
5. Accepted leads appear in Your Lead Center, where You track and update each lead's status (Section 6).

You are not required to create the ads, choose the media platforms, or manage campaign budgets yourself — these steps happen automatically once You submit Your inventory listing, subject to the controls described in Section 4.3.

3.1 You must be a legitimate, appropriately licensed motor vehicle dealership (or an authorized representative thereof) in the jurisdiction where You operate.

3.2 You are responsible for the accuracy of the inventory listing/feed You submit and for keeping it current. GetYourCar is not responsible for ads generated from inaccurate, outdated, or misleading listing data You provide.

3.3 You are responsible for maintaining the confidentiality of Your account credentials and for all activity under Your account.

4.1 Authorization. By submitting Your inventory listing, You authorize GetYourCar to access the vehicle data and images contained in it, to generate derivative advertising creative from it, and to launch and manage advertising campaigns on Meta, TikTok, and Google Ads (and any additional platforms we may add) on Your behalf, without requiring Your separate approval of each individual creative or campaign.

4.2 Your warranties regarding submitted content. You represent and warrant that You own or have the necessary rights to the vehicle photos, descriptions, pricing, and other data in Your listing feed, and that GetYourCar's use of that data to generate and run ads as described in these Terms will not infringe any third party's rights or violate any applicable law (including state “as-is”/pricing disclosure and advertising rules applicable to motor vehicle dealers).

4.3 Your controls. You may pause campaigns, adjust Your target area or budget cap, or remove listings from Your dashboard at any time. Pausing or removing a listing stops future ad delivery for that listing but does not affect leads already generated or Offers already accepted.

4.4 No guarantee of platform behavior. Meta, TikTok, and Google Ads are third-party platforms not controlled by GetYourCar. Ad approval, delivery, cost-per-result, and policy enforcement on those platforms are outside our control, and we make no guarantee regarding lead volume, ad approval, or continued availability of any specific advertising platform.

5.1 No subscription or upfront cost for advertising. GetYourCar funds and manages the underlying advertising media spend on Meta, TikTok, and Google Ads. You are not charged for ad impressions, clicks, or unrevealed leads. You are charged only when You accept an Offer to reveal a lead, as described below.

5.2 The Offer mechanism. When a consumer submits a lead form associated with Your listing, we will present You with an Offer in Your Lead Center specifying the price to reveal that lead's full contact details. Offers may reflect factors such as estimated lead quality and market conditions, in our sole discretion.

5.3 Accepting an Offer. By accepting an Offer, You authorize the corresponding charge to Your payment method on file, and the lead's full details will immediately become visible in Your Lead Center.

5.4 Declining or letting an Offer expire. You may decline an Offer, or allow it to expire without action. As described in our Privacy Policy, if You decline or an Offer expires within the applicable time window, and the consumer indicated openness to similar vehicles, we may offer that lead to another Participating Dealer in our network.

5.5 All accepted charges are final. All fees for accepted Offers are final and non-refundable once charged, including where the underlying consumer does not respond, does not purchase a vehicle, or where You are otherwise dissatisfied with the outcome of the lead. The only exception is a demonstrable technical/billing error resulting in a duplicate charge for the same accepted Offer, which we will correct upon verification.

5.6 Payment method and billing. You must keep a valid payment method on file. We may suspend Your ability to accept new Offers, or Your account, if a charge fails and is not promptly resolved.

6.1 Each revealed lead in Your Lead Center includes a status field (e.g., contacted, appointment set, sold, lost) for You to update.

6.2 Keeping lead statuses accurate and current is not a strict contractual condition of using the Platform, but it materially improves the matching signals we use to source future leads for Your account — the more consistently You update statuses, the better we are able to calibrate future lead targeting for You. We do not guarantee any specific improvement in lead quality or volume.

7.1 Ownership of generated creative. All advertising creative generated by the Platform (images, videos, carousel ads, and related copy) is owned by GetYourCar. Subject to Your compliance with these Terms and payment of applicable fees, we grant You a non-exclusive, non-transferable, revocable license to have that creative displayed in campaigns run through the Platform for Your dealership for as long as Your account remains active. This license terminates automatically upon account termination, and You may not independently republish, download, or reuse the generated creative outside the Platform without our prior written consent.

7.2 Your underlying content. You retain ownership of Your vehicle photos, descriptions, pricing, and dealership branding that You submit. You grant GetYourCar a worldwide, royalty-free license to use, reproduce, and create derivative works from that content solely to provide the Platform's services (Section 4.1).

7.3 Our platform IP. The getyourcar.ai software, algorithms, and branding are and remain the exclusive property of GetYourCar.

You are responsible for any applicable sales, use, or similar taxes on fees charged under these Terms, except taxes on GetYourCar's net income.

THE PLATFORM AND ALL LEADS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GLOWING MINDS AI INC. MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING LEAD VOLUME, LEAD QUALITY, CONSUMER RESPONSIVENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY LEAD WILL RESULT IN A SALE OR THAT ANY THIRD-PARTY ADVERTISING PLATFORM WILL APPROVE OR CONTINUOUSLY DELIVER YOUR CAMPAIGNS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLOWING MINDS AI INC.'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL GLOWING MINDS AI INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST SALES.

You agree to indemnify and hold harmless Glowing Minds AI Inc. d/b/a GetYourCar, its officers, and directors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) Your breach of these Terms; (b) the inventory data, images, or pricing You submitted; or (c) Your violation of any applicable law in connection with Your use of the Platform, including motor vehicle advertising and consumer protection laws applicable to Your dealership.

12.1 These Terms remain in effect while You maintain an account.

12.2 You may terminate Your account at any time via Your dashboard or by contacting us; termination does not entitle You to a refund of amounts already charged under Section 5.5.

12.3 We may suspend or terminate Your account, with or without notice, if You breach these Terms, submit fraudulent or unlawful listing data, fail to pay amounts due, or if we reasonably believe Your account poses a risk to the Platform, other Dealers, or consumers.

13.1 Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

13.2 Binding individual arbitration. Except as set out in Section 13.4, You and GetYourCar agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration on an individual basis, administered by [the American Arbitration Association ("AAA") under its Commercial Arbitration Rules], rather than in court, except that either party may bring an individual action in small claims court for qualifying disputes.

13.3 Class action waiver. Disputes must be brought in Your individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

13.4 30-day opt-out right. You may opt out of this arbitration agreement by sending written notice to [privacy@getyourcar.ai / legal@getyourcar.ai] within 30 days of first accepting these Terms, stating Your intent to opt out. If You opt out, disputes will instead be resolved exclusively in the state or federal courts located in Sarasota County, Florida, and both parties consent to personal jurisdiction there.

13.5 Injunctive relief. Either party may seek injunctive or other equitable relief in court for actual or threatened infringement of intellectual property or unauthorized access to systems, notwithstanding the arbitration agreement above.

We may update these Terms from time to time. Material changes will be posted with an updated “Last updated” date and, where required, we will provide additional notice (e.g., email or in-dashboard notice) before they take effect.

15.1 Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between You and Glowing Minds AI Inc. d/b/a GetYourCar regarding the Platform.

15.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

15.3 Assignment. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.4 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including third-party advertising platform outages or policy changes.

15.5 No third-party beneficiaries. These Terms do not create rights for anyone other than You and Glowing Minds AI Inc. d/b/a GetYourCar.
